Client Service Agreement

This Client Service Agreement (“Agreement”) is entered into between Square Mile Cleaning Limited (“we”, “our”, “us”) and the Client (“you”, “your”). By engaging our services, making payment, or using our website, you acknowledge that you have read, understood, and agreed to the terms and conditions set forth below.

1. Scope of Services

Square Mile Cleaning Limited provides professional cleaning services, including but not limited to:
✔ Office Cleaning
✔ Commercial Cleaning
✔ Residential Cleaning
✔ End of Tenancy Cleaning
✔ After Renovation Cleaning
✔ Deep Cleaning & Specialist Services
✔ Carpet & Upholstery Cleaning
✔ Window Cleaning
✔ Jet Washing
✔ Hard Floor Cleaning
✔ Junk Clearance
✔ Pest Control
✔ Ceiling Tile Cleaning
✔ Commercial Kitchen Cleaning
✔ Acid Graffiti Removal
✔ Supply of Cleaning Products & Equipment

1.1 Cleaning Services – Directly Employed Staff

Square Mile Cleaning Limited may use directly employed cleaners where required. Our staff are fully trained and insured to carry out standard office cleaning duties.

1.2 Subcontracted Services – All Other Cleaning & Specialist Services

For all other services, including specialist and high-risk cleaning (e.g., window cleaning, pest control, jet washing, office cleaning, one-off commercial cleans, carpet and upholstery cleaning, end of tenancy / pre-tenancy cleans, after renovation cleaning, deep cleaning / sparkle cleans, commercial cleaning contracts, residential cleaning contracts, property maintenance contracts, junk clearance, hard floor scrub and seal, ceiling tile cleaning, graffiti removal, solar panel cleaning, high-level cleaning, curtain and blind cleaning, sanitisation services, emergency cleaning services, exterior building cleaning, vehicle fleet cleaning, pool and spa cleaning, and pressure washing for public spaces), Square Mile Cleaning Limited acts solely as an intermediary, engaging fully vetted and insured subcontractors. These subcontractors meet our rigorous quality and compliance standards, ensuring reliability and professional service delivery.

All subcontracted work is carried out by trusted partners who are required to hold valid insurance, certifications, and compliance documentation before engagement. Square Mile Cleaning Limited manages client expectations, ensures service quality, and coordinates job execution but does not assume liability for the direct actions of subcontractors.
Subcontractors are independent businesses and are directly responsible for their work.
✔ We conduct due diligence, verify subcontractors’ insurance, compliance, and credentials, and review their past work.
Square Mile Cleaning Limited does not assume liability for the actions, performance, or conduct of subcontractors.
Any claims, disputes, or liabilities arising from subcontracted work must be made directly with the subcontractor’s insurance provider.
Specialist work requiring certification will only be provided by subcontractors unless we have qualified in-house staff.

By proceeding with payment, you acknowledge that you understand and accept this third-party service model.

2. Payment Terms

✔ Payment must be made in full before the commencement of any service unless agreed otherwise in writing.
✔ Late payments may incur statutory interest charges under the Late Payment of Commercial Debts (Interest) Act 1998.
✔ Square Mile Cleaning Limited reserves the right to suspend or cancel services for unpaid invoices.
Clients must not attempt to make payments directly to subcontractors.
✔ Any unauthorised direct engagement with a subcontractor may result in a financial penalty equivalent to 12 months’ expected service fees and potential legal action.
✔ Refunds will only be issued at the sole discretion of Square Mile Cleaning Limited and are not guaranteed.

3. Limitation of Liability & Indemnity

3.1 General Liability

Square Mile Cleaning Limited takes reasonable care in providing cleaning coordination services, but we are not liable for:
✔ Pre-existing damage to property, furnishings, or delicate items.
✔ Minor wear and tear that becomes more visible post-cleaning.
✔ Items that are not properly secured before cleaning.
✔ Damage caused by faulty client-owned equipment or electrical installations.
✔ Any injury, death, financial loss, consequential damages, or liability claims related to subcontractor services.
✔ Business interruption, loss of profits, or reputational damage.

3.2 Indemnification

The client agrees to fully indemnify and hold Square Mile Cleaning Limited harmless from any third-party claims, damages, or legal disputes arising from services rendered by subcontractors.

3.3 Subcontractor Liability

✔ Subcontractors are independent service providers and assume full liability for their work.
✔ Square Mile Cleaning Limited ensures that all subcontractors hold valid public liability insurance and operate legally.
✔ Any disputes, claims, or issues arising from subcontracted work must be resolved directly with the subcontractor.
Square Mile Cleaning Limited will not be held liable for subcontractor-related service failures, misconduct, or damages.

4. Cancellation, Rescheduling & Refunds

Cancellations made within 24 hours of a scheduled service may incur a charge of up to 50% of the total fee.
✔ If a cleaner or subcontractor cannot access the property due to client unavailability, full payment may still be required.
✔ Square Mile Cleaning Limited reserves the right to reschedule services due to unforeseen circumstances such as extreme weather, staff illness, or subcontractor unavailability.
Refunds are at Square Mile Cleaning Limited’s sole discretion and will be considered on a case-by-case basis.

5. Force Majeure

Square Mile Cleaning Limited is not liable for failure to perform services due to circumstances beyond our control, including but not limited to:
✔ Natural disasters
✔ Pandemics (e.g., COVID-19)
✔ Government restrictions
✔ Supplier failures
✔ Labour strikes or disputes
✔ Extreme weather conditions

6. Governing Law & Dispute Resolution

✔ This agreement is governed by UK law.
✔ Disputes shall first be attempted to be resolved through mediation.
✔ If mediation fails, disputes will be escalated to UK courts.
✔ Square Mile Cleaning Limited reserves the right to recover legal costs from the client in the event of a dispute.

7. Confidentiality & Data Protection

✔ Square Mile Cleaning Limited complies with UK GDPR laws to protect client data.
✔ All client information remains confidential and will not be shared with third parties except when required for service delivery.
✔ Clients must not share proprietary business information, supplier contacts, or internal pricing with competitors or third parties.

8. Confirmation of Agreement

By proceeding with payment, you:
✔ Confirm that you have read, understood, and agreed to this Client Service Agreement.
✔ Acknowledge that Square Mile Cleaning Limited acts as a coordinator and intermediary for subcontracted services.
✔ Accept that all claims related to subcontracted work must be directed to the subcontractor.
✔ Agree not to engage subcontractors directly outside of this agreement.
